Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and IDX LLC ("IDX Mean," "we," "us," or "our"), governing your use of YTC and any other applications, websites, or services we operate (collectively, the "Services").

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By creating an account, you represent and warrant that you are 18 years of age or older. We do not knowingly permit anyone under the age of 18 to register for or use the Services.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@idxmean.com if you suspect unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.

3. User Content

3.1 Ownership

You retain ownership of the content you create, post, or upload to the Services ("User Content").

3.2 License to us

By posting User Content, you grant IDX LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt your User Content solely for the purpose of operating, promoting, and improving the Services.

3.3 Your responsibility

You are solely responsible for your User Content and confirm that you have all necessary rights to post it, and that it does not infringe on the rights of others or violate applicable law.

4. Mentions and Tagging

The Services may allow users to mention or tag other users in posts, comments, or other content. By using this feature, you agree to use it only for legitimate, non-abusive purposes. Users may be able to control who can mention or tag them via account settings, and can report abusive use of the mention feature. We reserve the right to restrict or disable mention/tagging functionality for any account found to be using it to harass, spam, or abuse other users.

5. Prohibited Conduct

You agree not to:

• Post unlawful, defamatory, obscene, or infringing content
• Harass, threaten, impersonate, or abuse other users, including through mentions/tags
• Post spam or engage in fraudulent or deceptive conduct
• Attempt to circumvent content moderation or security measures
• Use automated means (bots, scrapers) to access the Services without our written permission
• Violate any applicable law or third-party rights

We may remove content and/or suspend or terminate accounts that violate this section, with or without notice, at our discretion.

6. Content Moderation

We use a combination of automated tools (including AI-based content screening) and human review to enforce these Terms and applicable law. We reserve the right to remove content, restrict features, or suspend or terminate accounts that violate these Terms, applicable law, or the policies of the app stores through which the Services are distributed. If your content or account is actioned, you may appeal by contacting support@idxmean.com.

7. Monetization, Payments, and Payouts

Certain features of the Services may allow creators to earn money through the platform (e.g., tips, subscriptions, or other monetization features made available from time to time).

• Payment processing: All payments and payouts are processed through Stripe, using Stripe Connect. By using monetization features, you agree to Stripe's terms of service and applicable Stripe Connect account agreements.
• Independent status: Creators using monetization features are independent users of the Services, not employees, agents, or partners of IDX LLC. You are solely responsible for any taxes owed on amounts you earn.
• Fees: We may charge a platform fee on transactions processed through the Services, as disclosed within the App at the time of the applicable feature.
• No guarantee of earnings: We do not guarantee any level of earnings, views, engagement, or payout amounts.

8. Optional Third-Party AI Features

The Services may offer optional features that connect to third-party AI providers using an API key you supply (e.g., for comment analysis). If you enable such a feature:

• You are responsible for obtaining and maintaining that API key and for complying with the applicable third-party provider's terms
• Content you submit through the feature will be sent to that third-party provider for processing, subject to that provider's own privacy and data practices
• You may disable the feature at any time within the App settings

9. Intellectual Property

The Services, including their design, features, logos, and trademarks, are owned by IDX LLC or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use IDX LLC's trademarks, logos, or branding without our prior written consent.

10. Third-Party Services

The Services may integrate with or link to third-party services (including Firebase, Stripe, and optional AI providers). We are not responsible for the practices, content, or availability of third-party services, which are governed by their own terms and privacy policies.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDX MEAN LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless IDX LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

14. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Sections of these Terms that by their nature should survive termination (e.g., ownership, disclaimers, limitation of liability, indemnification) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Insert State/Country of LLC Registration], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the courts located in [Insert Jurisdiction], and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last Updated" date above, and, where required, we will provide additional notice (such as an in-app notification). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Appendix: App-Specific Addenda

Where a specific app operated by IDX LLC (such as YTC) has features requiring additional terms (e.g., sweepstakes/promotional mechanics, specific monetization structures), those terms will be published as an addendum linked from within that app and are incorporated into these Terms by reference for users of that app.
